Terms of Service

This is a B2B-focused Terms of Service for Nomorobo's business clients who use Nomorobo products and services under a Master Service Agreement and Statement of Work.

1. Acceptance of Terms

  • These Terms govern Client's use of Nomorobo's business products and services.
  • By accessing or using the Services, Client agrees to be bound by these Terms.
  • These Terms are incorporated by reference into the MSA between Client and Nomorobo.
  • In the event of conflict between these Terms and the MSA, the MSA controls.

2. Definitions

  • "Client" means the business entity that has entered into an MSA with Nomorobo.
  • "Services" means the products, APIs, applications, and services provided by Nomorobo as described in the applicable SOW.
  • "API" means any application programming interface provided by Nomorobo.
  • "API Data" means data returned by the Nomorobo API including but not limited to spam scores, blacklist status, and caller reputation information.
  • "Authorized Users" means Client's employees, contractors, and agents authorized to access the Services on Client's behalf.
  • "Documentation" means technical documentation, user guides, and API reference materials provided by Nomorobo.

3. Account and Access

  • Client is responsible for maintaining security of account credentials.
  • Client shall not share API keys or access credentials with unauthorized parties.
  • Client is responsible for all activity under its account.
  • Client shall promptly notify Nomorobo of any unauthorized access.
  • Nomorobo may suspend access if it reasonably believes unauthorized use is occurring.

4. Permitted Use

  • Client may use the Services solely for its internal business purposes and as described in the applicable SOW.
  • Client may integrate API Data into its own products and services as permitted by the SOW.
  • Client shall comply with all applicable laws in its use of the Services.
  • Client shall comply with Nomorobo's reasonable API usage guidelines and rate limits.

5. Restrictions

Client shall NOT:

  • Reverse engineer, decompile, or disassemble the Services.
  • Sublicense, resell, or redistribute API Data, except as expressly permitted in the SOW.
  • Use Services to develop competing products.
  • Circumvent rate limits or security measures.
  • Use Services in a manner that could damage, disable, or impair Nomorobo's systems.
  • Use Services for any illegal purpose.
  • Scrape, crawl, or cache API Data beyond reasonable operational needs.
  • Attempt to access other clients' data or accounts.
  • Misrepresent the source of API Data to end users.

6. API Usage

  • Client shall adhere to documented API specifications and rate limits.
  • Nomorobo may update API versions with reasonable notice.
  • Nomorobo will support deprecated API versions for a minimum of 6 months.
  • Client is responsible for updating integrations to current API versions.
  • Nomorobo may throttle or suspend API access if Client's usage negatively impacts service for other clients.

7. Data and Privacy

  • Client's use of personal data obtained through the Services shall comply with all applicable privacy laws.
  • Data processing is governed by the Nomorobo DPA at nomorobo.com/business/dpa.
  • Client shall not use API Data to re-identify individuals or build consumer profiles beyond the scope permitted in the SOW.
  • Nomorobo may collect and use anonymized, aggregated usage data to improve its Services.

8. Service Availability

  • Service levels are governed by the Nomorobo SLA at nomorobo.com/business/sla.
  • Scheduled maintenance will be performed during off-peak hours with at least 48 hours advance notice.
  • Status information is available at nomorobo.statuspage.io.

9. Modifications to Terms

  • Nomorobo may update these Terms from time to time.
  • Material changes will be communicated with at least 30 days written notice via email to the Client contact on file.
  • Continued use of the Services after the notice period constitutes acceptance.
  • If Client objects to changes, either party may terminate the affected SOW per the MSA.

10. Suspension and Termination

Nomorobo may suspend access immediately if:

  • Client breaches these Terms.
  • Client's use poses a security risk.
  • Required by law or legal process.
  • Client's account is past due for more than 30 days.
  • Nomorobo will provide notice before or promptly after suspension, except where prohibited by law.
  • Termination rights are as set forth in the MSA.

11. Disclaimer

THE SERVICES AND API DATA ARE PROVIDED "AS IS" TO THE EXTENT NOT EXPRESSLY WARRANTED IN THE MSA.

NOMOROBO DOES NOT GUARANTEE THAT THE SERVICES WILL IDENTIFY ALL ROBOCALLS OR SPAM.

API DATA IS BASED ON NOMOROBO'S PROPRIETARY ALGORITHMS AND DATABASE AND MAY NOT BE 100% ACCURATE.

CLIENT ACKNOWLEDGES THAT CALL BLOCKING AND SPAM IDENTIFICATION INVOLVE INHERENT UNCERTAINTY.
